
The
name of the organization shall be the Merrymeeting Wheelers Bicycle Club. The
colors shall be blue and green.
The
purpose of the organization is to provide support to area cyclists in such a way
that the sport may be encouraged, appreciated and fostered. Support shall come
from the below noted areas of concern:
v
Encourage
recreational riding activities within the context of the club itself, family and
the general community.
v
To
promote public awareness of cycling, and the benefits to be derived on all our
behalf and that of the environment.
v
To
co-sponsor the Dan R. Michaud Century, an event that raises funds to fight the
war against cancer.
v
To work
with local schools in promoting cycling through safety programs and fundraisers.
v
Advocate
registration of bicycles.
v
To
generate a positive and cooperative atmosphere within the local area that will
be advantageous to the sport as a whole.

Membership
is open to individuals, families, particularly in the Merrymeeting Bay area, who
enjoy riding and have a desire to promote the various club purposes and
bicycling in general.

Parent
or Guardian's signature is necessary for approval of Membership for those
individuals under 18 years of age.

Annual
dues are payable on April 1. By June 15, non-paying members will he dropped from
club membership.
Section 2
Amount
of annual dues will be determined by a vote of the majority of the membership at
the March meeting.

The annual meeting and election of officers will be held at the regular
scheduled meeting during the month of March.
Section

Members will be notified a minimum of 30 days prior to the annual meeting. The
notice will include a proxy ballot.

Regular and special meetings are provided in the by-laws.
The
election of officers will be held as authorized in the by-laws.
The
Executive Committee will be comprised of the officers of the club and the
chairperson of standing committees. Other committees are provided for in the
by-laws.
The
constitution may be amended in any respect at any regular meeting of the club by
an affirmative vote of 2/3 of the club members present.
No proposed amendment shall be acted upon at any club meeting unless it
has been presented in writing to all members of the club at least 30 days in
advance of the meeting.

Regular
meetings of the club will be generally held on the last Monday. of every month
at 7:00 P.M. The membership will be notified by mail of any time or date change.
Twenty percent of the club members in good standing will constitute a quorum,

Special
meetings may be called at the request of the club president. Object of the
meeting will be stated in the call and no other business shall be transacted.
Twenty percent of the club members in good standing will constitute a quorum.

Executive
Committee meetings will be held at such times as it may. be determined. Two
thirds of the committee will constitute a quorum.
The
fiscal year of the club will commence on the first day of April and end on the
last day of March, of the succeeding calendar year.

The
Executive Committee of the club is composed of the officers and the chairperson
of the standing committees. The Executive Committee will have immediate charge,
management and control of the affairs of the club between meetings.

The
appointed committees will carry, on the program and business of the club. Such
committees may be; promoting bike safety, membership, publicity and Public
relations, rides and activities. The President of the club will appoint all
committee chairpersons and establish all committees, with the approval of the
officers of the club. Committee chairpersons may select their own committee
members from the personnel of the club.

Committee
appointments will expire at the annual meeting.
Section

Election
and seating of the officers will be held at the annual meeting. The election
will be by ballot from a slate chosen either by a nominating committee or from
nominations in open meeting. A majority of all club members shall elect in all
cases.

Officers'
term will be for a period of 12 months. With a maximum of 2 consecutive terms.

Vacancy.
in office during the period may be filled by appointment of the club president
with the concurrence of the Executive Committee.

Vacancy
in the office of President will be assumed by the Vice-president, followed by an
affirmation vote or the appointment to office of a club member with concurrence
of the Executive Committee.
Section

At
a regular meeting of the Executive Committee or club, at least 90 days (January
1) preceding the annual meeting, the President will appoint a nominating
committee of 3 members to nominate the designated club officers.
President:
Will coordinate and supervise total club program(s), preside at club and
Executive Committee meetings.
Vice-President:
Will assist President in carrying out the club responsibilities and shall serve
in his/her absence. It is recommended that he/she serve as chairperson of one of
the appointed working committees.
Secretary:
Will take minutes at the club and executive meetings, issue minutes and general
notices and announcements.
Treasurer:
Will keep and prepare all club financial records and transactions, make
necessary reports. It is suggested that the Treasurer also serve as chairperson
of the Finance Committee.
The
by-laws may be amended by a majority vote of all members of the club present at
any meeting of the club, provide notice of the proposed amendment has been given
in writing to club members at least 15 days in advance of the meeting.
